Jaklen Muoi Tuyen Foundation

A California Public Benefit Corporation


 

AMENDMENT #1
2001-March-18

 

  • A. The purpose for which the corporation is organized are exclusively religious, charitable, scientific, literary and educational within the meaning of section 501(c)(3) of the Internal Revenue Code of 1986 or the corresponding provision of any future United States Internal Revenue law.

  • B. Notwithstanding any other provisions of these articles, this organization shall not carry on any activities not permitted to be carried on by an organization exempt from Federal income tax under section 501(c)(3) of the Internal Revenue Code of 1986 or the corresponding provision of any future United States Internal Revenue law.

  • C. Upon dissolution of the organization, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code of 1986, or corresponding section of any future Federal tax code, or shall be distributed to the Federal, state, or local government for a public purpose. Any such assets not so disposed of shall be disposed of by a court of competent jurisdiction of the county in which the principal office of the organization is located, exclusively for such purposes.

Since the Jaklen Muoi Tuyen Foundation is a charitable organization with the main purpose of collecting funds for charitable projects consistent with its mission statement, there will be no compensation to Officers of the organization for their time and effort.

If the officers of the Board of Directors incur any expense towards the Organization's cause, it should be pre-approved by the Board of Directors to be paid back to them.

All company decisions will be made with a 70% absolute majority of the Board. All officers of the organization should be elected by the Board, every year. There can be a maximum of 5 Board members, and they will be appointed every year.
